Subscription & Billing Agreement

🔄 AUTO-RENEWAL DISCLOSURE — Important Notice

Your subscription automatically renews at the end of each billing period (monthly or annual) at the then-current rate for your plan unless you cancel before the renewal date. You will be charged to the payment method on file without additional notice before each renewal. To avoid being charged for the next billing period, you must cancel before your renewal date by following the cancellation instructions in Section 7 of this Agreement.

1. Agreement and Incorporation

This Subscription & Billing Agreement ("Subscription Agreement") is between you ("Subscriber" or "you") and Zoning Assist LLC, an Arizona limited liability company ("Zoning Assist"). This Subscription Agreement is incorporated into and subject to the Zoning Assist Terms of Service and Privacy Policy. In the event of any conflict between this Subscription Agreement and the Terms of Service regarding billing or subscription matters, this Subscription Agreement controls.

By creating an account, purchasing a Pay-As-You-Go report, or subscribing to any Zoning Assist plan, you agree to this Subscription Agreement in its entirety. You also acknowledge that by creating an account or activating a subscription, you agree to all three governing documents: the Terms of Service, the Privacy Policy, and this Subscription Agreement.

2. Subscription Plans and Pricing

Zoning Assist offers the following subscription plans. All prices are in U.S. dollars (USD). Prices are subject to change with 30 days' notice (see Section 11).

3. Pay-As-You-Go Plans

Pay-As-You-Go (PAYG) plans allow you to purchase individual reports without a recurring subscription. PAYG plans are charged per-report at the time of report generation.

3.1 PAYG Billing

PAYG reports are charged to your payment method at the time of generation. There is no subscription or recurring charge for PAYG plans. You must maintain a valid payment method on file to generate PAYG reports.

3.2 PAYG Refund Policy

PAYG reports are non-refundable once generated, except as required by applicable law. If a report fails to generate due to a system error on our end, we will provide a replacement report or credit at our discretion. See Section 8 for full refund terms.

4. Promotional Codes and Single-Use Discounts

Zoning Assist does not offer a free trial. New account holders must purchase a Pay-As-You-Go report or activate a subscription before generating any report.

From time to time, Zoning Assist may issue single-use promotional codes ("Promo Codes") to prospective customers. Promo Codes are issued through Zoning Assist's payment processor (Stripe) and apply a discount, including up to a 100% discount, to a specific Pay-As-You-Go report or subscription purchase at checkout.

5. Billing and Payment Terms

5.1 Recurring Billing Authorization

By subscribing to any paid plan, you authorize Zoning Assist (through its payment processor, Stripe) to automatically charge your designated payment method on a recurring basis — monthly or annual — for the subscription fees applicable to your plan. This authorization continues until you cancel your subscription in accordance with Section 7.

5.2 Billing Cycle

Your billing cycle begins on the date you activate your subscription. Billing occurs on the same date each month (monthly plans) or annually (annual plans).

5.3 Payment Methods

Zoning Assist accepts the following payment methods through Stripe:

You are responsible for ensuring that your payment method remains valid and has sufficient funds or credit. Zoning Assist does not store full card numbers; all payment data is processed and secured by Stripe.

5.4 Taxes

All listed prices are exclusive of applicable taxes. You are responsible for all applicable sales tax, use tax, VAT, GST, or similar taxes arising from your subscription, based on your billing address and applicable law. Where Zoning Assist is required to collect taxes, they will be added to your invoice.

6. Failed Payments and Late Fees

6.1 Failed Payment Process

If a scheduled payment fails (due to insufficient funds, expired card, bank decline, or other reasons), Zoning Assist will:

6.2 Account Reactivation

To reactivate a suspended account, you must update your payment method and pay all outstanding amounts, including any applicable late fees. Reactivation restores access to your account and report history. Reports are not deleted during the suspension period.

6.3 Late Fees

If your account remains unpaid for more than 30 days from the original billing date, a late fee of the greater of $15 or 1.5% of the outstanding balance per month may be applied to the outstanding amount, to the extent permitted by applicable law. Late fees are waived at Zoning Assist's discretion for good-faith payment disputes submitted within the dispute window (see Section 15).

6.4 Collection

Amounts unpaid after 60 days may be referred to a collections agency or subject to legal action. You agree to pay all reasonable costs of collection, including attorneys' fees, to the extent permitted by applicable law.

7. Cancellation Policy

✅ How to Cancel Your Subscription

You can cancel at any time. Here's how:

  1. Log in to your Zoning Assist account at zoningassist.com;
  2. Navigate to Account Settings → Subscription → Cancel Plan;
  3. Follow the on-screen prompts to confirm cancellation;
  4. You will receive a cancellation confirmation email to your address on file.

Alternatively, email [email protected] with the subject line "Cancel Subscription" from the email address associated with your account. We will process your cancellation within 1 business day and send a written confirmation.

7.1 When Cancellation Takes Effect

Cancellation is effective at the end of your current billing period. You retain full access to the Service, including your report allocation, for the remainder of the paid billing period after you cancel. Your subscription will not renew after the end of that period, and no further charges will be made.

Example: If you are on a monthly plan billed on the 1st of each month, and you cancel on the 15th, your subscription remains active through the end of that month (the 30th/31st). You will not be billed on the 1st of the following month.

7.2 Annual Plan Cancellation

Annual plans were temporarily removed 2026-06-05 and re-enabled 2026-06-07. Annual subscribers may cancel at any time; cancellation takes effect at the end of the current annual period. Early termination does not entitle you to a prorated refund for the unused portion of the annual term, except as provided in Section 8.3 below.

8.1 Monthly Subscriptions — Non-Refundable

Monthly subscription fees are non-refundable once paid. If you cancel a monthly subscription, you will not receive a refund for the current billing month or any prior period. Your access continues through the end of the paid period (see Section 7.1).

8.2 Annual Subscriptions — Non-Refundable

Annual subscription fees are non-refundable once paid. If you cancel an annual subscription, you will not receive a refund (in whole or in part) for the unused portion of the annual term. Your access continues through the end of the paid annual period (see Section 7.2). Annual renewals are likewise non-refundable; cancel before your renewal date to avoid being charged for the next annual term.

8.3 Service Failure Refunds or Credits

If Zoning Assist fails to meet the service level expectations in Section 12 (i.e., Service is unavailable for more than 1% of monthly uptime), you may be eligible for a prorated service credit (not a cash refund) for the affected period. Credits are applied to your next billing cycle and do not carry forward beyond 60 days. Credit requests must be submitted to [email protected] within 30 days of the qualifying outage.

8.4 Termination for Cause — No Refund

If your account is suspended or terminated by Zoning Assist for violation of the Terms of Service (including but not limited to IP violations, credential sharing, or automated scraping), you are not entitled to any refund of pre-paid subscription fees.

8.5 Complimentary Re-Runs for Source Outages

Zoning Assist reports aggregate data from multiple third-party government sources (FEMA, USGS, Census Bureau, FHWA, Google, municipal GIS systems, and others). Occasionally, one or more of these external data sources may experience temporary outages that prevent certain report sections from populating completely.

If your report was affected by a third-party data source outage, you are entitled to one (1) complimentary re-run of the same address within seven (7) days at no additional cost and with no report credit deducted. The system automatically detects when a report section was unavailable due to an external source outage and will offer the free re-run option when you search the same address again.

This policy applies to both subscription and PAYG reports. Complimentary re-runs are limited to one per affected report and expire seven (7) days after the original report was generated.

8.5.1 Free Re-Run Abuse Prevention

The complimentary re-run policy is provided in good faith to address genuine cases where data source outages impair report quality. This policy is subject to abuse prevention measures. Intentionally generating reports during known data source outages for the purpose of obtaining free re-runs is prohibited and constitutes a violation of the Terms of Service. Specifically:

Important — Incomplete Reports Do Not Warrant Reliance: A complimentary re-run addresses the billing fairness issue of paying for an incomplete report. It does not cure or limit the disclaimer and limitation of liability applicable to the original incomplete report under the Terms of Service. You must independently verify all data categories regardless of re-run availability. An incomplete report, whether or not followed by a re-run, does not mean a property is free of any risk that was absent from the original report.

8.6 Report History and Cached Reports

Reports you generate are saved in your account history for thirty (30) days (Enterprise tier: indefinitely). Viewing a previously generated report does not consume a report credit. You may re-access saved reports at any time during the retention period.

If you search an address for which you have generated a report within the past twenty-four (24) hours, the system will display your existing report at no additional cost rather than generating a new one.

8.7 PAYG Reports — Non-Refundable

Individual pay-as-you-go reports are non-refundable once generated and successfully delivered, except as required by applicable law. If a report fails to complete due to a system error, you will receive a replacement report or credit equal to the report price at our discretion.

8.6 Chargebacks

If you initiate a chargeback with your bank or credit card issuer for a valid Zoning Assist charge, your account may be immediately suspended pending resolution. Fraudulent chargebacks for services rendered may be reported to credit bureaus and subject to collection action. If you have a billing dispute, contact [email protected] before initiating a chargeback — most disputes can be resolved quickly.

9. Plan Upgrades and Downgrades

9.1 Upgrades — Immediate and Prorated

When you upgrade to a higher-tier plan (e.g., Basic → Standard), the following applies:

When you downgrade to a lower-tier plan (e.g., Standard → Basic), the following applies:

9.3 Annual to Monthly Conversion

Converting from an annual plan to a monthly plan takes effect at the end of your current annual term. No early conversion to monthly billing is available during an active annual period.

9.4 Monthly to Annual Conversion

Monthly to annual conversion is available for Basic, Standard, and Premium plans (RE-ENABLED 2026-06-07). Switching to annual billing from monthly takes effect at the next billing cycle and is subject to the annual pricing in effect at that time.

10. Report Limits and Overage Handling

10.1 Monthly Report Allocations

Each subscription plan includes a fixed number of reports per calendar month:

Report allocations reset on your billing date each month. Unused reports do not roll over to the next billing period.

10.2 When You Reach Your Limit

When you have used all reports in your monthly allocation, you will receive an in-app notification. At that point, you may:

10.3 Report Generation Policy

A report is counted against your monthly allocation when it is successfully generated and delivered, regardless of whether you view or download it. Failed report generations (due to system errors on our end) are not counted against your allocation. Duplicate reports for the same address within a 30-day window may be served from cache and may not count against your allocation, at Zoning Assist's discretion.

11. Price Changes

Zoning Assist reserves the right to modify subscription prices at any time. For existing subscribers, price changes are subject to the following notice requirements:

Zoning Assist reserves the right to offer promotional, introductory, or discounted pricing to new subscribers at any time, which may differ from rates offered to existing subscribers. Existing subscribers are not entitled to promotional pricing unless explicitly offered.

12. Service Level Expectations

⚠️ Service Level Target — Not Guaranteed Zoning Assist targets 99% monthly uptime for the core report generation function of the Service. This is an operational target, not a contractual guarantee. Actual availability may vary. Zoning Assist does not provide SLA credits except as described in this Section and Section 8.3.

12.1 Uptime Target

Zoning Assist targets 99% monthly availability (measured as: (Total Minutes in Month − Downtime Minutes) / Total Minutes in Month × 100%), where "downtime" means the Service's core report generation function is unavailable to all users. This target excludes:

12.2 Maintenance Windows

Scheduled maintenance is typically performed during off-peak hours (2:00 AM – 6:00 AM Mountain Standard Time). We will provide advance notice of planned maintenance that is expected to exceed 30 minutes via the Service status page (status.zoningassist.com) and email where feasible.

12.3 Service Credits

If monthly uptime falls below 99% in a calendar month (excluding the exclusions listed in Section 12.1), subscribers may request a service credit equal to a prorated credit for the excess downtime period. Credits are applied to the next billing cycle. Cash refunds are not provided for downtime. Credit requests must be submitted to [email protected] within 30 days of the qualifying downtime event.

12.4 No Guarantee of Data Freshness

Zoning Assist does not guarantee that any specific government data source will be current, available, or updated on any particular schedule. Data refresh frequency varies by jurisdiction and is outside Zoning Assist's control. Service level targets apply only to platform availability, not data currency.

13. Enterprise Plans

Enterprise plans are available for organizations requiring high-volume reports (250/mo base), multi-user seat licenses, custom integrations, or dedicated support. Enterprise pricing is not publicly listed — contact sales at [email protected] for a quote. Enterprise terms are negotiated individually and governed by a separate Master Service Agreement (MSA) that supplements or supersedes the standard Terms of Service and this Subscription Agreement where specified in the MSA.

14. Annual Billing Terms

14.1 Annual Billing Mechanics

Annual subscriptions are billed in a single lump-sum payment at the beginning of each annual term. The annual payment covers 12 months of Service access at the applicable annual plan rate.

14.2 Annual Renewal

Annual subscriptions auto-renew for successive one-year terms at the then-current annual rate for your plan unless cancelled at least 24 hours before the annual renewal date. You will receive a renewal reminder email at least 30 days before your annual renewal date.

14.3 Annual Renewal Cancellation

To prevent annual renewal, you must cancel at least 24 hours before your annual renewal date using the cancellation procedure in Section 7. Annual renewal charges cannot be reversed after processing.

15. Billing Disputes

If you believe you have been incorrectly charged, you must contact Zoning Assist at [email protected] within 30 days of the disputed charge. Please include:

Zoning Assist will investigate all disputes in good faith and respond within 10 business days. Disputes not raised within 30 days of the charge are waived, to the extent permitted by applicable law. This dispute process does not affect your rights under applicable consumer protection laws.

During the pendency of a good-faith billing dispute submitted within the 30-day window, Zoning Assist will not suspend your account or apply late fees to the disputed amount.

17. California Subscribers (Auto-Renewal Law)

California Automatic Renewal Law Notice

Under California Business & Professions Code §§17600–17606 (commonly known as SB-313 / California's Automatic Renewal Law, or "ARL"), California consumers are entitled to specific disclosures and protections for any subscription that automatically renews. The disclosures and protections in this Section apply to all subscribers nationwide, but California subscribers are specifically afforded the additional rights described below.

17.1 Clear and Conspicuous Disclosure

Before you select a subscription plan, Zoning Assist provides the following auto-renewal disclosures in visual proximity to the “Select Plan” buttons on the pricing page (zoningassist.com/pricing):

17.2 Affirmative Consent

Zoning Assist obtains your affirmative consent to the auto-renewal terms before charging your payment method through two independent mechanisms:

  1. An unchecked-by-default consent checkbox on the pricing page that you must affirmatively tick before the “Select Plan” button will proceed to checkout. The text of your consent and a timestamp are recorded for audit;
  2. A second native consent control on the Stripe Checkout payment page reaffirming your acceptance of these Subscription Terms and the auto-renewal of your plan immediately before your payment method is charged.

17.3 Acknowledgement Email

Immediately after a successful subscription purchase, Zoning Assist sends you a confirmation email containing the auto-renewal terms, the amount that will be charged on each renewal, the next renewal date, the seller’s identity and contact information, and instructions for cancellation. This email satisfies the acknowledgement requirement of §17602(a)(7).

17.4 Easy Cancellation Mechanism (“Click to Cancel”)

You may cancel your auto-renewing subscription at any time using either of the following methods:

  1. Online (preferred): sign in to your account at zoningassist.com/account, open Subscription & Billing, and click Cancel Subscription. Cancellation is processed immediately;
  2. Email: send a message containing the word “cancel” and your account email to [email protected]. Email cancellations are processed within one business day.

Cancellation is free, requires no phone call, and does not require you to pass through any retention or up-sell flow. Your access continues through the end of the paid period; you will not be charged for the next renewal.

17.5 Pre-Renewal Reminder

For any annual subscription, and for monthly subscriptions where required by California law, Zoning Assist will send a reminder email to the address on file at least three (3) days before each auto-renewal. The reminder will include the renewal date, the amount that will be charged, and the cancellation methods described in Section 17.4.

17.6 Material Change Notice

If Zoning Assist materially changes the auto-renewal terms of your subscription (for example, by increasing the recurring charge), Zoning Assist will provide you with clear and conspicuous notice of the change and an opportunity to cancel before the change takes effect, as described in Section 11 (Price Changes).

17.7 Refund of Unauthorized Charges (§17603)

Pursuant to California Business & Professions Code §17603, if Zoning Assist charges your payment method for an auto-renewal without complying with the disclosure, consent, or acknowledgement requirements above, you are entitled to treat the charge as an unconditional gift and may request a full refund of that charge by contacting [email protected]. This right is in addition to any other remedies available under applicable consumer-protection laws.

17.8 Severability and Conflict

If any term elsewhere in this Subscription Agreement conflicts with a non-waivable right granted to California subscribers by §§17600–17606, the California-protected right controls for the affected California subscriber. The remaining provisions of this Agreement remain in full force and effect.
